1.许可
(1)根据本协议的条款,东芝电子元件(上海)有限公司(以下简称为“东芝”)向您授予使用本软件、不可转让及免版税许可,以供且仅供您将软件用于东芝外接硬盘产品以及东芝移动硬盘产品的配合使用。
(2)您不得复制、更改或翻译该软件;反向编译、反向加工、拆解或反汇编该软件的所有或任何部分;出租、租赁、许可、分许可、分发、转让或出售该软件;或创造该软件的衍生产品。
(3)基于尊重非东芝软件(详见声明A), 东芝不会以任何方式授权非东芝软件,除非东芝单独出具授权。软件使用者须自行承担责任,向非东芝软件授权方取得授权。
(4)如果您是法人、公司或其它法人实体,您应确保使用该软件的公司董事、管理人员和员工遵守本协议的条款和条件。
2.所有权
软件的所有权利、所有权及权益以及软件的任何知识产权,包括但不限于专利、商标、 设计专利、版权、专有技术和商业秘密以及相关申请权利(“知识产权”)应为东芝和/或其许可方所有。
另外,您不得删除、修改或改变版权标志、标签、商标和软件上的其它标志。
3.无支持
东芝、其附属公司、东芝的供应商和/或本公司的许可方(统称为“供应方”)可单方面酌情更新软件,且恕不另行通知,但东芝不承担为该软件提供支持、更新或培训的义务。
4.无保证
您承认,该软件“按原样”提供,并无任何保证或声明。供应方对于因该软件产生的任何责任(包括特殊的、作为结果的、附带的、直接或间接的损害或责任,例如收入或利润损失以及数据丢失)概不负责,即使东芝已获告知可能会产生该等损害或责任。所有东芝及非东芝软件均“按原样”提供,供应方概不作出任何类型的保证。
在适用法律允许的范围内,供应方概不承认有关软件的所有保证,不论明示或暗示或法定保证,包括但不限于有关不侵犯第三方权利的保证、 以及关于适销性及适合特定目的的暗示保证。关于软件的质量和性能的所有风险均由您承担。供应方概不保证该软件所含的功能可满足您的需求或软件的运行将不中断或无错误。供应方或供应方授权代表提供的任何口头或书面信息或建议概不构成保证或在任何情况下均不得扩大本保证的范围。
5.赔偿
您同意赔偿、保护和保持供应方免于因使用该软件、任何实际的或声称的违反本协议或任何其它与软件相关的事项 (包括但不限于使用任何第三方许可)所导致的任何及所有责任、损害、索赔、 费用(包括合理的律师费)。
6.责任限制
供应方在本协议下的所有责任以及您在本协议下的赔偿应限于您单独购买东芝USB闪存产品所实际支付的金额。某些国家/司法管辖区不允许排除暗示保证或限制暗示保证存续的时间,或是排除或限制附带或间接损害赔偿,因此该等限制或排除条款可能不适用于您。本有限保证为您提供特定的权利,您可能还拥有其它权利,具体因各国/司法管辖区而异。
7.非预期用途
该软件并非设计用于亦未保证可用于需要超高质量及/或可靠性水平或其故障或失灵可能会导致生命损失、身体伤害、重大财物损失及/或严重公共影响的设备或系统(“非预期用途”)。非预期用途包括但不限于用于核设施的设备、用于航空行业的设备、用于汽车、火车、轮船及其它运输工具的设备、交通信号设备、用于控制燃烧或爆炸的设备、安全设备、电梯和自动扶梯、与电力有关的设备以及用于金融相关领域的设备。如果您将该软件用于非预期用途,供应方对该软件概不承担任何责任。
8.出口管制
就该软件而言,您应遵守所有适用的出口管制法律和法规,包括但不限于美国出口管理条例。在不限制前述一般性原则的情况下,未经相关政府机关的授权,您不得出口该软件(若在上述法律法规下适用),且不得将软件用于以开发和/或制造核、化学、生物武器及/或导弹为目的的任何用途。
9.不得转让
您不得通过法律运作或其它方式将本协议或任一方在本协议下的责任或义务出让、转让或让与任何一方,除非事先获得东芝书面同意。
10.终止
如果您违反本协议的任何条款,东芝可通知您立即终止本协议。协议终止后,授予您的许可将终止,您应停止使用该软件。
11.一般规定
本协议构成东芝与您之间就本协议标的订立的完整协议,取代双方之间先前所有的口头或书面通信。本协议应受日本法律管辖,但不包括与法律存在冲突的条款。东芝和您明确同意不使用联合国货物销售合同公约(1980)。若本协议的任何条款被裁定为无效、非法或不可执行,本协议其余条款的有效性、合法性及可执行性在任何情况下均应不受影响或损害。对违反本协议任何条款的豁免不得构成对该条款或其他任何条款的任何先前、同时或后续违反的豁免,除非经豁免方的授权代表以书面方式及签字确认,否则,任何豁免均无效。若东芝的任何政策或支持服务计划的条款与本协议条款冲突,应以本协议条款为准。
非东芝软件声明
此软件可能含有第三方授权的第三方版权软件。
各第三方授权使用条件及条款仅适用于可适用的非东芝软件。
基于对第三方软件版权的尊重,适用法律允许范围内不提供保证。
